Company Registration in Cyprus
The types of companies that can legally be established in Cyprus are: (a) Cyprus company (private or public) registered under the Companies Law CAP 113, (b) partnership, (c) branches of a foreign company registered in other jurisdictions, (d) ‘Cyprus Investment Firms’ (CIFs), (e) ‘The European Company’ also known as ‘Societas Europaea’ (“SE”), and (f) ‘Cyprus International Trust’.
The most popular choice for investors is the Private Company Limited by Shares. This type of company requires at least one shareholder, with the total number of shareholders not exceeding 50. Shareholder liability is limited to the nominal value of their subscriber shares. The company’s shares cannot be traded publicly, nor can they be offered to the public for subscription.
Time Frame: Once the Company name is approved, the entire procedure takes approximately five working days to complete. Upon completion, you will receive the full set of incorporation documents, including the Certified Memorandum and Articles of Incorporation, Certificate of Incorporation, Certificate of Shareholders, Certificate of Director and Secretary, Certificate of Registered Office Address, Share Certificates and the Company Stamp.
